Concept

1.1 Short title & Applicability

1.1.1 This policy, which outlines the company’s philosophy forfulfilling its responsibilities as a corporate citizen and establishes guidelines and mechanisms for implementing socially useful programmes for the welfare and sustainable development of the community at large, is titled the ‘SLN CSR Policy’

1.1.2 This policy shall apply to all CSR initiatives and activities undertaken by SLN, focusing on social, educational, and environmental causes on a regular basis. We firmly believe that to succeed, an organisation must maintain the highest standards of corporate behaviour towards its stakeholders, employees and societies in which it operates.

1.2 CSR Vision Statement & Objective

1.2.1 In alignment with the “Vision” of the company, SLN, through its CSR initiatives, will continue to enhance value creation in the society and in the community in which it operates, through its services, conduct & initiatives, to promote sustained growth for the society and community, in fulfillment of its role as a Socially Responsible Corporate, with environmental concern.

1.2.2 The objective of the SLN CSR Policy is to
a) Ensure an increased commitment at all levels in the organisation to operating its business in an economically, socially, and environmentally sustainable manner while recognising the interests of all its stakeholders.

b) To directly or indirectly take up programmes that benefit the communities in & around its work centres and results, over a period, in enhancing the quality of life & economic well-being of the local populace.

c) To generate goodwill in communities where SLN operatesor is likely to operate.

Resources & Areas To Be Covered

2.1 Funding & Allocation:

2.1.1 For achieving its CSR objectives through the implementation of meaningful & sustainable CSR programmes, SLN will allocate 2% of its average annual net profits made during the 3 immediately preceding financial years as its Annual CSR Budget.

2.1.2 From the annual CSR Budget allocation, a provision will be made towards the CSR activities made under relevant expenditure heads, on a year-on-year basis as per the amount spent on the activities covered under Schedule VII of the Companies Act, 2013 and amendment thereon as follows:

  1. Eradicating hunger, poverty and malnutrition, promoting health care, including preventive health care and sanitation, including contribution to the Swachh Bharat Kosh set-up by the Central Government for the promotion of sanitation and making available safe drinking water.
  2. Promoting education, including special education and employment-enhancing vocational skills, especially among children, women, the elderly, and the differently abled and livelihood enhancement projects.
  3. Promoting gender equality, empowering women, setting up homes and hostels for women and orphans, establishing old age homes, daycare centres, and other facilities for senior citizens, and implementing measures to reduce inequalities faced by socially and economically disadvantaged groups.
  4. Ensuring environmental sustainability, ecological balance, protection of flora and fauna, animal welfare, agroforestry, conservation of natural resources and maintaining quality of soil, air and water, including contribution to the Clean Ganga Fund set-up by the Central Government for rejuvenation of river Ganga.
  5. Protection of national heritage, art, and culture, including restoration of buildings and sites of historical importance and works of art; establishment of public libraries; promotion and development of traditional arts and handicrafts.
  6. Measures for the benefit of armed forces veterans, war widows and their dependents.
  7. Training to promote rural sports, nationally recognised sports, paralympic sports and Olympic sports.
  8. Contribution to the Prime Minister’s National Relief Fund or any other fund set up by the Central Government for socio-economic development and relief and welfare of the Scheduled Castes, the
    Scheduled Tribes, other disadvantaged classes, minorities and women.
  9. Contributions or funds provided to technology incubators located within academic institutions which the Central Government approves.
  10. Rural development projects.
  11. Slum area development

Any unspent or unutilized CSR allocation from a particular year shall not be included in the company’s business profits. Any unspent/unutilized CSR allocation or any excess expenditure made in
a particular year shall be treated in the manner provided under the Companies Act, 2013, and rules made thereunder (including statutory re-enactment/modifications from time to time).

2.2 Area to be covered

2.2.1 As per Section 135 of the Companies Act, 2013, the Company shall give preference to the local area and areas around it where it operates, for spending the amount earmarked for CSR activities.

Planning

3.1 Identification of Thrust Areas and Strategic Initiatives:

3.1.1 For purposes of focusing its CSR efforts in a continued and effective manner, the following Eight Thrust Areas have been identified:

  1. Environment Protection/Horticulture
  2. Infrastructure Development
  3. Drinking water/Sanitation
  4. Healthcare/Medical facility
  5. Community Development / Social Empowerment
  6. Contribution to Social Welfare funds set up by the Central/State Government
  7. Relief of victims of Natural Calamities

3.2 Scope for the 8 thrust areas for Strategic CSR initiatives

Considering the facts, the Company, to the extent feasible, undertakes Strategic CSR initiatives in the areas that align with its business operations, such as the following:

3.2.1 Education/ Literacy Enhancement

  1. Construction of school and college buildings, as well as extensions to class and lab facilities for schools and colleges.
  2. Support to Technical and Vocational Institutions for their self-development.
  3. Academic education through financial assistance to Primary, Middle and Higher Secondary Schools and Colleges, including Special Education.
  4. Adult literacy, especially amongst those belonging to the BPL.
  5. Awareness programmes on girl education.
  6. Special attention on education, training and rehabilitation of mentally & physically challenged children/persons and counselling of parents.
  7. Spreading legal awareness amongst people and disadvantaged sections of society about their rights & remedies available.
  8. Promotion of Professional Education by setting up educational institutions offering courses in Engineering, Nursing, Management, Medicine, technical subjects, etc.
  9. Provide fees for a period of one year or more to poor and meritorious students, preferably girls, at the school in the Company’s operational area, to enable them to receive uninterrupted education

3.2.2 Environment Protection / Horticulture

  1. Financial assistance for Environment Management and Pollution Control.
  2. Green Belt Development
  3. Afforestation, Social Forestry, Check Dams, Park.
  4. Development of jobs related to agro-products, i.e., dairy, poultry, farming, and others
  5. Plantation of saplings producing fruit
  6. Animal care

3.2.3 Infrastructure Development

  1. Develop infrastructural facilities to provide electricity through Solar Lights or alternative renewable energy to the nearby villages. The beneficiaries should bear the recurring expenditures.
  2. Community kitchen powered by natural gas and alternative energy sources (e.g., solar, wind, biomass, biogas).
  3. Infrastructure Support for construction, repair, extension, etc. of the old age home, auditorium, playground, parks, Municipal & Corporation initiatives etc.,

3.2.4 Drinking water/Sanitation

  1. Installation / Repair of Hand Pumps / Tube Wells
  2. Digging/Renovation of Wells.
  3. Gainful utilisation of wastewater from Underground Mines for cultivation or any other purpose.
  4. Development and construction of Water Tanks/Ponds.
  5. Rainwater-harvesting scheme
  6. Formation of a Task Force of Volunteers to educate people regarding proper use of drinking water.
  7. Empower villagers to maintain the above facilities for water availability
  8. Buildings Toilets in Villages and Schools, and Solid Waste Disposal

3.2.5 Healthcare/Medical facility

  1. Installation / Repair of Hand Pumps / Tube Wells
  2. Digging/Renovation of Wells.
  3. Gainful utilisation of wastewater from Underground Mines for cultivation or any other purpose.
  4. Development and construction of Water Tanks/Ponds.
  5. Rainwater-harvesting scheme

3.2.6 Community Development/Social Empowerment

  1. Employment facilities should be provided to the community people, especially to the disadvantaged sections of society by providing education and training, thereby developing their skills forsuitable employment.
  2. Cooperative societies should be formed with the active participation of local people to establish Dairies, Poultry Farms, Piggeries, etc., which will also help generate self-employment opportunities.
  3. To provide assistance to villagers having a small patch of land to develop mushroom farming, medicinal plants, farming & other cash crops to make them economically dependent on their available land resources. Training may be provided by agricultural experts for these farming initiatives.
  4. Organising training programmes for women in tailoring, embroidery designs, Home Food/Fast Food, Pickles, Painting and Interior Decoration, and other Vocational Courses.

3.2.7 Contribution to Social Welfare funds set up by Central / State Government

Contribution to the Prime Minister’s National Relief Fund or any other fund set up by the Central Government for socio-economic development and relief, and welfare of the Scheduled Castes, the Scheduled Tribes, other disadvantaged classes, minorities and women.

3.2.8 Relief for victims from Natural Calamities

  1. Providing clothes
  2. Supplying of Food & water
  3. Providing Shelter
  4. Health Care and Medical Treatment for the victims
  5. Rebuild Houses

Implementation:

4.1 CSR Programmes will be implemented by the company either on its own or through any specialized agencies/implementing agencies like NGOs, Trusts, Missions, elected local bodies like Panchayats, Self Help Groups, Mahila Mandals, community-based organisations etc. which are eligible to undertake any CSR activity as per the Companies Act, 2013 and rules made thereunder (including statutory reenactment/modifications from time to time

4.2 The Board shall adopt an Annual Action Plan in pursuance of this CSR policy which shall include list of CSR projects/programmes to be undertaken, manner of execution, modalities of utilisation of funds, monitoring and reporting mechanism for the projects/programmes, details of need and impact assessment, if any for the projects undertaken. The Board may alter the Annual Action Plan at any time during the financial year based on reasonable justification.

4.3 To meet the requirements arising out of immediate and urgent situations, the Managing Director is authorized to approve proposals, which are subsequently brought to the Board’s attention.

4.4 All the CSR initiatives of the company will form part of the Annual Report of the company.

4.5 The CSR Policy shall be implemented by the Board for the time being in conformity with the Companies Act, 2013.

4.6 Monitoring of CSR activities: The Board shall obtain necessary information from the Management, if required, to satisfy itself of the implementation of the CSR activities as approved by the Board.

General

5.1 Any or all provisions of the CSR Policy would be subject to revision/amendment in accordance with the guidelines on the subject as may be issued by the Government from time to time.

5.2 The Company reserves the right to modify, cancel, add, or amend any of these Policy Rules.
